Shareholders are referred to the cautionary announcements previously published by the Company on X-News, with the most recent being dated 24 March 2026.
The Board of Directors advises shareholders that Letshego Africa and its subsidiary, Letshego Mauritius Limited, have entered into a binding framework agreement with Axian Digital Venture Holding and Management Limited in respect of the proposed sale of 100% of the issued share capital in the following subsidiaries:
- Letshego Ghana Savings and Loans PLC;
- Letshego Faidika Bank Tanzania Limited;
- Letshego Microfinance Bank Nigeria Limited;
- Letshego Rwanda Limited; and
- Letshego Uganda Limited,
(the “Transaction”).
The Transaction is subject to customary customary suspensive conditions, including regulatory and competition approvals in the relevant jurisdictions, lender consents, and compliance with the Botswana Stock Exchange Listings Requirements (“Listings Requirements”). Implementation will occur on a per-subsidiary basis upon fulfilment of the applicable conditions.
The details of the Transaction are currently with the BSE for consideration in accordance with Chapter 6 of the Listings Requirements. A further announcement will be released with the full details of the Transaction once the process has been completed.
As the Transaction may have a material effect on the price of the Company’s securities, shareholders are advised to continue to exercise caution when dealing in the Company’s securities until a further announcement is made.
